Terms of Service
1. Agreement
These Terms of Service (“Terms”) form a binding agreement between you and the operating entity behind lab-logger.com(“LabLogger”, “we”, “us”). By creating an account or otherwise using the Service you accept these Terms and our Privacy Policy. If you don’t accept them, don’t use the Service.
2. Eligibility & account
- You must be at least 13 years old (16 in the EU/UK/EEA) to create an account.
- You’re responsible for the activity on your account and for keeping your credentials secure. If you suspect unauthorized access, change your password and email security@lab-logger.com immediately.
- One human, one account. You may not share login credentials with colleagues; use the lab invitation flow instead.
- When you create or administer a lab on behalf of an institution, you represent that you have authority to bind that institution to these Terms.
3. Your content
You retain ownership of every entry, attachment, comment, file, sample record, task, and other content you create on LabLogger (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, display, and adapt Your Content solely as necessary to operate the Service for you and the people you’ve shared it with — including transmitting it to our AI subprocessors for the features you use.
This license terminates when you delete the content or your account, except that:
- Backups may persist for up to 30 days after deletion;
- Content shared into a lab remains in that lab unless removed by the lab admin;
- Aggregated, de-identified usage data (e.g. “X% of users dictate entries on weekdays”) may be retained for product analytics indefinitely.
4. Acceptable use
You agree NOT to use LabLogger to:
- Store personal health information (PHI) of identifiable third parties governed by HIPAA, GDPR special-category data, or equivalent regulations. LabLogger is not currently HIPAA-compliant and you must not rely on it to store regulated patient data.
- Store classified, export-controlled, or weapons-research data without an explicit written agreement with us covering that use.
- Conduct or document research that violates applicable laws, your institution’s research-integrity policies, or relevant ethical-review board approvals.
- Infringe intellectual property rights or upload content you do not have the right to share.
- Spam, harass, defame, or threaten any person; impersonate another individual; or share private information about a person without their consent.
- Reverse-engineer, scrape, mass-download, or crawl the Service beyond ordinary use; probe/penetration-test without prior written authorization.
- Use the Service to train competing AI/ML models on output you obtain from our AI features.
- Resell, sublicense, or wrap the Service as a white-labeled product without our written agreement.
We may suspend or terminate accounts that materially violate this section, with notice where reasonable.
5. Lab admins
- Lab admins are responsible for managing membership, enabling or disabling self-serve join codes, and configuring lab-wide settings.
- Lab admins can see member emails, role assignments, and lab-shared content. They cannot see the private entries of their members.
- When a member leaves the lab, their lab-shared entries remain in the lab unless the admin requests removal. This mirrors how paper lab notebooks have historically worked.
- Lab admins may delete their lab from Settings. This permanently removes all entries, samples, comments, and audit-log rows scoped to that lab. Members retain their personal workspaces.
6. Access
This deployment does not charge for access. Every account can use the full LabLogger feature set without checkout, payment, or a subscription. Legacy plan fields may still appear internally only so migrated data remains compatible with older database schemas.
7. AI accuracy disclaimer
LabLogger uses third-party AI models (Google Gemini today; we may swap or add providers in the future) to classify entries, extract text from PDFs and images, propose folder organizations, answer voice questions, and similar features.
AI output can be wrong, incomplete, or hallucinated. You remain responsible for verifying any AI-derived content before relying on it for safety, regulatory, publication, IRB, clinical, manufacturing, or any other consequential decision. The Service is a tool to assist you; it is not a substitute for scientific judgment.
8. Third-party services
LabLogger integrates with third-party services such as Resend (email), Slack (notifications), Google (OAuth and AI), Neon (Postgres), Vercel (hosting), and Liveblocks (collaboration). Your use of those services is governed by their own terms. We are not responsible for the availability, security, accuracy, or content of third-party services.
9. Service availability
We aim to keep LabLogger available but do not guarantee uninterrupted access. We may perform maintenance, deploy updates, or experience outages from upstream providers. Beta-tier customers receive no formal SLA. Enterprise customers may negotiate an SLA in their order form.
10. Termination
- You may delete your account at any time from Settings.
- We may suspend or terminate your access if you materially violate these Terms, fail to pay, or use the Service in a way that creates legal or security risk for us or other users. We will give reasonable notice where the situation allows.
- Sections that should reasonably survive termination (content ownership, AI-output disclaimer, limitation of liability, indemnification, dispute resolution, governing law) survive.
11. Disclaimer of warranties
EXCEPT WHERE PROHIBITED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LabLogger AND ITS SUBPROCESSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) US$100. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON CERTAIN DAMAGES; IF YOU’RE IN ONE, THIS SECTION APPLIES TO THE MAXIMUM EXTENT YOUR JURISDICTION PERMITS.
13. Indemnification
You agree to indemnify and hold harmless LabLogger from any third-party claim arising out of (a) Your Content, (b) your violation of these Terms, or (c) your violation of applicable law or any third-party right. We’ll notify you of any such claim promptly and let you participate in the defense.
14. Governing law & disputes
These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles. Any dispute arising out of these Terms or the Service will be resolved in the state or federal courts located in Los Angeles County, California, and you and we consent to the personal jurisdiction of those courts.
Before filing a formal claim, you agree to first contact us at legal@lab-logger.com and attempt good-faith resolution for at least 30 days.
15. Changes to these Terms
We may modify these Terms. Material changes will be announced in the product and by email at least 30 days before they take effect for existing accounts. Continued use after the effective date constitutes acceptance.
16. Miscellaneous
- Entire agreement: these Terms (with the Privacy Policy and any order form) are the entire agreement between you and us regarding the Service.
- Severability: if a court finds any part of these Terms unenforceable, the rest stays in effect.
- No waiver:failing to enforce a provision isn’t a waiver of the right to enforce it later.
- Assignment:you can’t assign these Terms without our consent. We may assign them to a successor entity in a merger, acquisition, or asset sale on the same terms.
- Force majeure: neither party is liable for failures caused by circumstances beyond reasonable control (natural disasters, infrastructure outages, government actions, etc.).
